     Re: Appointments to the Board of Directors and Resignation of Board of
                                   Directors.

At the Extraordinary General Meeting of the Company held on 28th October 2002
the following changes to the Board took place:

Mr Devin Hosea, Mr Yossi Barath and Mr Kevin Snowball were elected Directors.

Mr Alan Deacon, Mr Christopher Brader and  Mr Filip Montfort resigned from the
Board and;

PricewaterhouseCoopers were re-appointed auditors to the Company

Brief Professional History of New Directors



Devin Hosea

Mr. Hosea has been employed by Brookdale Limited since September of this year,
as their President. Prior to his current position, he was the founder of
Predictive Investments Inc and company focusing on software development from
June 1998. He has been elected Chairman to the company. From May 1996 to May
1998 Mr. Hosea was employed by General Electric Corporation, a venture capital
investment company, holding the position of vice president responsible for
technology and special situations.


Yossi Barath

Mr. Barath is currently employed by Mahau Barath Limited, a management
consultation company, he holds office as their chairman and CEO since 1998.
Prior to his current position he was employed by Elbit Vision Systems Limited
from 1994 - 1998 a high-tec industries company, again he held position as CEO /
President. Mr Barath is qualified in Engineering and Business management. He has
been elected as a non-executive Director of the company.


Kevin Snowball

Mr. Snowball is currently employed by ABM Amro Limited and has held a position
as senior trader since October 2002. Prior to this he was employed at Bear
Stearn International, Dresdner Kleinwort Benson and Smith New Court Far East as
an investment manager / trader since 1994. Having qualifications in SEAQ / SEAQ
International Market Maker, SFA Registered Representative and being a former
member of the HKFE Options and Floor Procedures Committee. He has been elected
as a non-executive Director of the company
