Cancellation from AIM
It was announced earlier today that as at 3.00 p.m. on 3 January
2014, Sword Soft Limited ("Sword Soft") had received valid
acceptances from Charteris Shareholders in respect of a total of
48,537,343 Charteris Shares, representing approximately 96.58 per
cent. of the issued share capital of Charteris, and that the Offer
had been declared unconditional in all respects.
Accordingly, at the request of Sword Soft, Charteris is applying
for the cancellation of admission to trading of Charteris Shares on
AIM (the "Cancellation").
In accordance with the guidance notes to AIM Rule 41,
shareholder consent in general meeting of Charteris, which would
otherwise have been required pursuant to AIM Rule 41, will not be
required as the Cancellation is pursuant to the takeover by Sword
Soft of Charteris which has been declared wholly unconditional and
furthermore that Sword Soft has received valid acceptances, in
respect of more than 75 per cent. of the issued share capital of
Charteris.
Cancellation of the admission of Charteris Shares to trading on
AIM would significantly reduce the liquidity and marketability of
any Charteris Shares in respect of which acceptances of the Offer
are not submitted and accordingly it is likely that the value of
any such Charteris Shares would be significantly affected.
Cancellation of the admission to AIM of Charteris Shares is
expected to be effective from 7.00am on Tuesday 4 February 2014,
being 20 clear business days from today.
