Further to the announcement made on 29 December 2004, the Company has allotted a
further 4,738,239 ordinary shares of 1p each in relation to the offer made for
Academy Childcare Group Plc.  Application has been made for these shares to be
admitted to trading on AIM with effect from 24 January 2005.
