CELSIS INTERNATIONAL PLC  ("the Company")

Application has been made to the Financial Services Authority and the London
Stock Exchange for a listing of 129,375 shares of 1p each to be admitted to
the Official List.

These shares, ranking pari passu in all respects with the existing shares in
issue, will be allotted pursuant to clause 1.3(a)(iii) of the Stock Purchase
Agreement dated 30th September 1997 between Celsis International plc and Mr R
T Hollis and Mr P J Renaud. The Agreement was in connection with the
acquisition of Scientific Associates Inc. In accordance with clause
1.3(a)(iii) Mr R T Hollis and Mr P J Renaud were entitled to a 2000 Earn Out
Amount equivalent to US$100,000.00. The shares were priced, and converted into
sterling, as at 31st March 2000, equating to 129,375 ordinary shares.
