C.H.E. GROUP PLC (the "Company")

Cancellation of Ordinary Shares and Preferred Shares



The Board of the Company announces, further to its announcement dated 21 March
2002, that today 1,226,733 listed ordinary shares of 10 pence each in the share
capital of the Company ("Ordinary Shares") representing approximately 5.5 per
cent. of the issued Ordinary Shares and 31,097,906 unlisted variable rate
cumulative convertible preferred shares of 50 pence each ("Preferred Shares")
representing 100 per cent. of the issued Preferred Shares in the share capital
of the Company, previously held by Choice Hotels International, Inc. and its
affiliates ("Choice"), have been cancelled pursuant to section 146 of the
Companies Act 1985.

The authorised and issued share capital of the Company has, therefore been
reduced by an amount equal to the nominal amount of the 1,226,733 listed
Ordinary Shares and the 31,097,906 unlisted Preferred Shares.

The Board of the Company reiterates that this cancellation will have no impact
on the number of shares held by all remaining ordinary shareholders.
