          Unicorn International PLC ("Unicorn")
                            
          Offer unconditional as to acceptances


Abrasives PLC ("Abrasives"), a wholly owned subsidiary of
Compagnie de Saint-Gobain, announces that, at 3.00 p.m.
on 17 July 1997, the first closing date of the Offer,
valid acceptances of the Offer had been received in
respect of a total of 36,633,679 Unicorn Shares,
representing approximately 96.4 per cent. of the issued
share capital of Unicorn.  Accordingly, the Offer has
become unconditional as to acceptances.

Prior to the commencement of the offer period on 13 June
1997, Abrasives had received irrevocable undertakings to
accept the Offer in respect of 12,806,688 Unicorn Shares,
representing approximately 33.7 per cent. of the issued
share capital of Unicorn. Abrasives has now received
valid acceptances in respect of  all of these Unicorn
Shares which are included in the total set out above.

During the offer period, neither Abrasives nor any person
deemed to be acting in concert with Abrasives has
acquired or agreed to acquire any Unicorn Shares.

The Offer, together with the Loan Note Alternative, will
remain open for acceptance until further notice.

relation to the Offer.
