The Offer was declared unconditional as to acceptances on
18 May 1998.

As at the close of business on 5 June 1998, Compagnie de
Saint-Gobain had received no indication from the Office
of Fair Trading as to whether or not it was the intention
of the Secretary of State for Trade and Industry to refer
the proposed acquisition to the Monopolies and Mergers
Commission.  Accordingly, and with the consent of the
Panel on Takeovers and Mergers under Rule 31.7, the offer
timetable has been extended by fourteen days to 22 June
1998.

The Offer, together with the Loan Note Alternative, will
remain open for acceptance until further notice.
