             FRIENDLY TENDER OFFER FOR THE DUTCH COMPANY
                     FLEXOVIT INTERNATIONAL N.V.

The Abrasives Division of Saint-Gobain announces that it is in negotiation in
order to launch a friendly tender offer for FLEXOVIT INTERNATIONAL N.V a Dutch
company listed on the Amsterdam stock exchange at a price of NLG 30 per share
representing a total price of NLG 173 million for 100% of share capital.  The
Supervisory Board of that company will recommend to shareholders to accept the
offer.

FLEXOVIT INTERNATIONAL N.V is specialised in the production of abrasives, in
particular thin grinding wheels.  Its sales in 1997 amounted to NLG 210,7
million and net income before exceptional items was NLG 7,3 million.  The
company is mainly established in the Netherlands, Australia and the USA and
employs about 900 people.
