under Part 26 of the Companies Act 2006
SCHEME EFFECTIVE
The Directors of Castleton Technology and Bidco are pleased to
announce that, further to the announcement dated 3 June 2020 that
the Court has sanctioned the Scheme, the Scheme Court Order has now
been delivered to the Registrar of Companies and, accordingly, the
recommended acquisition of Castleton Technology by Bidco has now
become effective in accordance with its terms and, pursuant to the
Scheme, the entire issued and to be issued share capital of
Castleton Technology is now owned by Bidco.
Full details of the acquisition are set out in the Scheme
Document published on 4 May 2020. Capitalised terms used but not
otherwise defined in this announcement have the meaning given to
them in the Scheme Document.
Scheme Shareholders on the register at the Scheme Record Time,
being 6.00 p.m. on 3 June 2020, are entitled to receive 95 pence in
cash for every Scheme Share held. Cheques will be dispatched to
Scheme Shareholders holding Scheme Shares in certificated form and
the CREST accounts of Scheme Shareholders holding Scheme Shares in
uncertificated form will be credited by no later than 18 June
2020.
Following the application by Castleton Technology to the London
Stock Exchange, the cancellation of admission to trading of
Castleton Shares is expected to be effective as of 7.00 a.m.
(London time) on 5 June 2020.

laws in that jurisdiction and no person may vote in favour of the
Scheme by any such use, means, instrumentality or from within a
Restricted Jurisdiction or any other jurisdiction if to do so would
constitute a violation of the laws of that jurisdiction. Copies of
this announcement and any formal documentation relating to the
Acquisition are not being, and must not be, directly or indirectly,
mailed or otherwise forwarded, distributed or sent in or into or
from any Restricted Jurisdiction and persons receiving such
documents (including custodians, nominees and trustees) must not
