                             Directors Shareholding

The Company was informed on 29 June 2006 that Fidecs Nominees Limited purchased
91,304 Ordinary Shares of 25p each ("Ordinary Shares"), representing 0.23 per
cent of the Ordinary Share capital of the Company at a price of 50p per Ordinary
Share on 28 June 2006.

Following this purchase, Fidecs Nominees Limited hold 6,804,645 Ordinary Shares,
representing 16.82 per cent of the Ordinary Share capital of the Company. Arron
Fraser Banks, a Director of Conister Trust PLC, has a joint beneficial interest
in these Ordinary Shares.
