                  European Goldfields Limited ("the Company")

                            Director's Shareholding

On 31 December 2007, 350,000 restricted share units granted for nil
consideration in November 2005 to David Reading, Chief Executive Officer of the
Company, under the Company's Restricted Share Unit Plan were redeemed for nil
consideration into an equal number of Common Shares of the Company, from which
the Company withheld 140,000 shares for tax purposes. As a result, David Reading
now holds, or exercises control or direction over, 635,775 Common Shares of the
Company representing 0.35% of the issued share capital of the Company. Further
to this redemption, David Reading does not hold any more restricted share units.

The Company currently has 179,162,381 Common Shares outstanding.
