                         AGM Statement / Acquisition



At the annual general meeting held today, Rod Bransgrove, Chairman, made the
following comments:


"The integration of Link Licensing is going well and has considerably enhanced
Entertainment Rights programme catalogue and strengthens its foothold in the
global children's area.


"I am delighted to announce that today your group has secured worldwide (with
the exception of US and Canada) television and video distribution rights for
60 hours of programming from the leading children's publishing and
entertainment company, Golden Books.


"The Golden Books catalogue features internationally renowned classics such as
FFelix the Cat, The Mighty Hercules and Underdog. Felix the Cat was the first
international cartoon superstar, originally created in 1919.


"This latest acquisition boosts the Entertainment Rights catalogue to over 800
hours of programming."

All the resolutions put to the meeting were passed.
