Entertainment Rights plc (the "Company")
Result of Extraordinary General Meeting
On 25 March 2004, the Company announced that its wholly-owned subsidiary, The
Sleepy Kid Company Limited, had conditionally agreed to acquire all of Hallmark
Entertainment Distribution LLC's right, title and interest in the Filmation
Library for a total consideration of US$20 million (the "Acquisition") and a
Firm Placing and a Placing and Open Offer of an aggregate of 150,408,893 new
ordinary shares in the Company at 11.25p per share, both of which were
conditional upon the approval of shareholders of the Company at an Extraordinary
General Meeting convened for the purpose ("EGM").
The Company is pleased to announce that at the EGM held earlier today, each of
the ordinary resolution put to shareholders to approve the Acquisition and the
special resolution put to shareholders to approve the Firm Placing and the
Placing and Open Offer was duly passed.
The Acquisition is therefore expected to be completed by Wednesday, 28 April
2004.
The aggregate 150,408,893 new ordinary shares in the Company (the subject of the
Firm Placing and the Placing and Open Offer) are expected to be admitted to the
Official List of the UK Listing Authority and to trading on the London Stock
Exchange plc's market for listed securities at 8.00 am on Thursday, 29 April
2004.
