    Acquisition of Spot and Company of Manhattan, Inc
    Result of General Meeting

    Introduction 

    First Artist Corporation plc (AIM: FAN), the media, events and entertainment group, announced on 11 August 2008 that it has agreed,
through its wholly owned subsidiary First Artist Corporation, Inc. and subject to Shareholder approval, to acquire Spot and Company of
Manhattan, Inc. ("SpotCo"), for a maximum consideration of $18.86 million.  

    The Acquisition constitutes a reverse takeover under the AIM Rules and, as such, requires the approval of Shareholders for the purposes
of the AIM Rules The document setting out the full terms and conditions of the Acquisition, together with a Notice of General Meeting to be
held at 11.00am on 29 October 2008, was mailed to First Artist Shareholders on 11 October 2008. 


    Result of General Meeting and Acquisition Update

    The Board of First Artist is pleased to announce that at the General Meeting duly convened and held earlier today in connection with the
Acquisition of SpotCo by First Artist, the resolution set out in the Notice of General Meeting approving the Acquisition was duly passed by
Shareholders. 

    Following the approval of Shareholders the Acquisition has now been declared unconditional in all respects, save for Admission. 

    The Company has made application to the London Stock Exchange for 13,877,371 Ordinary Shares to be re-admitted to trading on AIM. 
Admission and trading in the Ordinary Shares of the Enlarged Group on AIM will commence on 31 October 2008.

    All times referred to in this announcement are London times. 

    Terms defined in the Admission Document have the same meanings in this announcement.
