              Proposals to wind-up the Company and the Subsidiary



At the ZDP Class Meeting and the Extraordinary General Meetings of the Company
and the Subsidiary held earlier today, all the resolutions were passed to wind
up voluntarily the Company and the Subsidiary.


It is expected that copies of the Resolutions will be filed with H.M. Greffier
in Guernsey later today, after which the Liquidators will become appointed.
