I just explained it to you. Fund 1 buys the offering and alerts funds 2,3+ about the offering despite being restricted against giving out that information. I'm too tired to concentrate, but I don't really see what it has to do with naked shorting. PIPEs can be involved in toxic stuff, but generally of a much more ordinary kind.
