Results of Extraordinary General Meeting

The Board of Qatar Investment Fund plc (QIF.L) announces that at the Extraordinary General Meeting ("EGM") held today at 10.30 a.m., Resolutions 1 and 2 were duly passed on a poll. Resolution 3 was not passed. The results are shown below.

The total number of votes cast was 159,867,583 which represents 72.0% of the Company's total voting rights.

Results of Tender Offer

Further to the announcement of the proposed tender offer on 17 October 2012, the Board of the Company announces that the tender offer for the purchase of up to 44,420,496 Ordinary Shares (representing 20% of the Shares in issue as at 17 October 2012 excluding treasury shares) closed at 1.00 p.m. on 9 November 2012.

A total of 41,552,272 Shares were validly tendered under the Tender Offer all of which will be repurchased by the Company and cancelled; this equates to 18.7% of the Company's Shares in issue as at 17 October 2012 (excluding treasury shares), and 93.54 per cent. of the shares available under the Tender Offer.

Details of the Tender Price are expected to be announced on 7 December 2012.

A copy of the ordinary resolutions 1 and 2 will be submitted to the National Storage Mechanism and will be available for inspection at: www.hemscott.com/nsm.do.
