         Henderson Private Equity Investment Trust plc (the `Company') 
 
              Result of General Meeting and Initial Tender Offer 
 
At a general meeting of the Company held today, the special 
resolution authorising the Company to buy back up to 3,298,787 Shares in 
connection with its Initial Tender Offer was passed. 
 
A total of 9,374,580 Shares were validly tendered under the Initial Tender 
Offer. As a result, valid tenders by Shareholders up to the Basic Entitlement 
will be accepted in full and excess tenders will be satisfied to the extent of 
approximately 5.22 per cent. of the excess Shares tendered. 
 
The Net Asset Value as at the Calculation Date was 397.0040 pence per Share. 
Accordingly, the Tender Price, which has been calculated in accordance with 
paragraph 1.2 of Part III of the circular to Shareholders dated 14 November 
2011 (the "Circular"), is 377.1538 pence per Share. 
 
3,298,706 Shares will be repurchased by the Company under the Initial Tender 
Offer and cancelled and this equates to 17.5% of the Company's Shares in issue 
at 14 November 2011. Following the Initial Tender Offer, the Company will 
have 15,551,506 Shares in issue. 
 
It is expected that cheques will be despatched and CREST payments made during 
the week commencing 19 December 2011 for those Shareholders who validly 
tendered their Shares. 
 
Terms used in this announcement shall, unless the context otherwise requires, 
have the same meaning given to them in the Circular.
