                                 Board Changes

The Board of Highway Insurance Holdings Plc ("HIH") announces that it has
decided to stop running its Board Meeting in tandem with that of its FSA
regulated subsidiary, Highway Insurance Company Limited ("HighCo"). This
decision has been taken because of the changed nature of Highway's operations
and in particular, its move into distribution. The Company is no longer solely a
motor underwriter.

As a result the Boards of HIH and HighCo will cease to have directors in common.
Judy Kellie and David Barker have therefore resigned from the Board of HIH with
immediate effect and Richard Gamble will step down from the Board of HighCo.
Judy Kellie and David Barker will continue to act as non-executive directors of
HighCo.

At the same time Highway is pleased to announce that Peter Salsbury and Jan
Shawe have agreed to join the Board of HIH as non-executive directors and their
appointment is effective immediately. Their biographical details are set out
below.

As announced with the final results, David Coleridge, John Stoker and Allen
Thomas are leaving the Boards of both HIH and HighCo and this is also effective
immediately.

Following the above changes, the non-executive directors of the HIH and HighCo
boards are:

Richard Gamble
Peter Salsbury
Jan Shawe

HighCo
David Barker
Judy Kellie

On the HIH Board, Peter Salsbury will assume the role of Senior Independent
Director and Chairman of the Remuneration Committee where he will be joined by
Jan Shawe.

All three HIH non-executive directors will serve on the Audit Committee which
will continue to be chaired by Richard Gamble.

Lastly, Highway is pleased to announce the appointment of Arthur Milton to the
role of Chief Financial Officer, on an interim basis, with effect from 3rd April
2006. Arthur has been retained on a six month contract by which stage we expect
a new Finance Director will have been appointed.

Biographical Details

Peter Salsbury

Peter Salsbury was Chief Executive of Marks & Spencer PLC from 1998 until 2000
and also served on the Board of M & S Financial Services for five years. During
his ten years on the main board at Marks & Spencer his responsibilities included
commercial estates, retail operations, HR and sales and marketing. He is
Chairman of TR Property Investment Trust plc.

Jan Shawe

Jan Shawe has held a number of senior marketing and communications posts in
Prudential plc, Reed Elsevier plc and J Sainsbury plc. From 2000 to 2004 she was
a board member of Sainsbury's Supermarkets and Director of Corporate Relations,
J Sainsbury plc.

In accordance with paragraph LR 9.6.13R of the UK Listing Authority listing
rules:

     i.  Peter Salsbury is a director and Chairman of TR Property Investment 
         Trust plc.

     ii. There are no other matters to be disclosed under paragraphs (1) to (6) 
         of LR 9.6.13R regarding Peter Salsbury or Jan Shawe.
