Highway Share Incentive Plan ("the Plan")


This announcement replaces RNS announcement Number 2743D dated 19 May 2006.  On
24 May 2006 Hill Samuel ESOP Trustees Limited (the "Plan Trustees") notified the
Company that their original notification to the Company dated 18 May 2006 was
incorrect with regard to the number of shares acquired as a dividend
reinvestment under the Plan.  The revised announcement follows.

This disclosure relates to a single transaction of which notification was
received under paragraph 3.1.2. of the Disclosure Rules and, in respect of the
Directors of Highway Insurance Holdings Plc ("the Company") only, section 324 of
the Companies Act 1985.

The Company was notified on 24 May 2006 that, on 17 May 2006, the Plan Trustees
purchased the following Ordinary Shares of 20 pence each in the Company, at a
price of 73 pence per share, as a dividend reinvestment on behalf of the
directors and persons discharging managerial responsibility ("PDMR") listed
below:-
