The Heywood Williams Group Employee Benefit Trust has informed the Company that
on the 17 November 1999 it purchased 200,000 shares in Heywood Williams Group
PLC at a price of #2.38, which will be used to satisfy the vesting of awards
(previously notified) under the Company's Long Term Incentive Plan (the "Plan").

The Executive directors of Heywood Williams Group PLC are for Companies Act
purposes regarded as interested in shares which the Trust holds.  No executive
director will be entitled to receive a greater number of shares than those
specified in the terms of his awards under the Plan. Awards of shares under the
Plan are conditional upon the meeting of performance criteria.  Release of any
shares will be no earlier than June 2000.
