                 SHARE REPURCHASE ANNOUNCEMENT

Heywood Williams Group PLC announced that on 21st August,
1997, it purchased for cancellation 269,462 of its ordinary
shares from Cazenove & Co. at a price of 217.5 pence per
ordinary share.  This represents approximately 0.27 per cent
of its current issued ordinary share capital.
