Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
PLC, it is announced that on 22 June 1999 Mr Bryce acquired 1,151 ordinary
shares of 25p in the Company at a price of 288p per share.

Following this purchase Mr Bryce is interested in a total of 30,446 ordinary
shares.
