HEYWOOD WILLIAMS GROUP PLC

The Heywood Williams Group Employee Benefit Trust sold 67,222 ordinary shares in
Heywood Williams Group PLC at a price of #2.76 on 29 June 1999.  The shares sold
had vested on 18 June 1999 to participants in the 1996 award (previously
notified) under the Company's Long Term Incentive Plan.  The proceeds of the
sale will meet income tax liabilities of certain of the participants.

The Executive Directors of Heywood Williams Group PLC are, for Companies Act
purposes, regarded as interested in the Company's shares which the Trust holds
and of the shares sold 5236 were on behalf of Mr Nigel Charles Ellis Tongue.
