HEYWOOD WILLIAMS GROUP PLC ("the Company")

Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
PLC, it is announced that on 23 August 1999 Mr Bryce acquired 1006 ordinary
shares of 25p each in the Company at a price of 276p per share.

Following this purchase Mr Bryce is interested in a total of 32,368 ordinary
shares.
