                       Disposal of Distribution division

InTechnology plc ("InTechnology" or "the Company") (RIC: ITO.L), announces that
it has agreed to sell its Specialist Distribution division to DNS, the European
subsidiary of Arrow Electronics, the US-based global provider of electronic
components and computer products, for #41 million in cash.  The sale is
conditional on EU Merger clearance being obtained and on there being no material
adverse change affecting the business. It is anticipated that completion will
take place on 29th December 2006.

InTechnology's Distribution division specialises in the storage, software and
security arena, delivering excellence and expertise in data storage, management
and network security.  The sale of this division will enable InTechnology to
focus entirely on its high margin, high growth division, Managed Services.

In the twelve months ended 31 March 2006, the Distribution division recorded
sales of #190 million and employed 200 staff.  The sale proceeds after tax will
be used to expand the Managed Services business by organic growth and by
acquisition.

Commenting on the sale, Peter Wilkinson, Chief Executive Officer, stated:

"I am delighted with this news.  The distribution market place has become one of
consolidation and we believe that rather than become a consolidator within this
industry, it is in the best interest of shareholders to dispose of the business.

"This disposal will enable us to focus management's attention on the Managed
Services division, with its high margins and potential for exciting growth.  We
intend to grow this business both organically and through acquisitions and are
confident about the Company's prospects for further growth."
