                           Voting Rights and Capital


In conformity with the Transparency Directive's transitional provision 6, the
Board of InTechnology would like to notify the market of the following:

InTechnology plc's issued share capital consists of 141,479,045 ordinary shares
of 1p each with voting rights. No ordinary shares are held in treasury.

The above figure of 141,479,045 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, InTechnology plc under the
FSA's Disclosure and Transparency Rules.
