       RECOMMENDED OFFER ("OFFER") FOR GOLDEN VALE PLC ("GOLDEN VALE").

                          EXTENSION OF OFFER PERIOD


Kerry announces that in accordance with Rule 37.1(a) of the Irish Takeover
Rules, the Irish Takeover Panel has consented to the extension of the Offer
Period until 21 September, 2001 to enable the final condition of the Offer to
be satisfied. This condition relates to the receipt of satisfactory mergers
clearances by the Office of Fair Trading in the UK and the Minister for
Enterprise, Trade and Employment in Ireland.
