Re: Brochure of Particulars

Application has been made to the Irish Stock Exchange and to the UK Listing
Authority for 11,472,024 Ordinary Shares, of nominal value Euro0.125 each, in
the capital of Kerry Group to be admitted to the Official List of the Irish
Stock Exchange and the Official List of the UK Listing Authority, and
application has been made to the London Stock Exchange and the Irish Stock
Exchange for these shares to be admitted to listing and trading. These shares
have been allotted to those Golden Vale shareholders who had validly accepted
the offer by Kerry Group for Golden Vale plc ("Golden Vale") and elected for
the Shares Offer as of 28 September, 2001. These shares rank pari passu in all
respects with the existing Ordinary Shares.

Copies of this Brochure are available for fourteen days from the registered
office of Kerry Group Plc.
