    Director dealings and Total Voting Rights

    The Company was informed on 30 October that on 29 September Sir Brian Richards acquired 250,000 ordinary shares of 0.5p each ("Ordinary
Shares") at 11.5 pence each. 

    Following this acquisition Sir Brian Richards has an interest in Lipoxen of 250,000Ordinary Shares, representing 0.21 per cent of the
issued Ordinary Share capital in the Company.

    Also, in conformity with the FSA's Disclosure and Transparency Rules, the Company notifies the market of the following:

    Lipoxen's capital consists of 119,858,085 ordinary shares of 0.5p each ("Ordinary Shares") with voting rights. No Ordinary Shares are
held in treasury, therefore the total number of voting rights in the Company is 119,858,085.

    The above figure (119,858,085) may be used by shareholders as the denominator for the calculations by which they will determine if they
are required to notify their interest in, or a change to their interest in, Lipoxen under the FSA's Disclosure and Transparency Rules.
