NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

An Appendix 3B was lodged on 7 August 2013 and additional disclosures relating to the Appendix 3B were lodged on 13 August 2013 by Latin Resources Limited (Company).

The lodgements included the issue of 11,428,574 fully paid ordinary shares at $0.07 per share, pursuant to a placement offer made to sophisticated and professional investors (as described in Section 708(8) of the Corporations Act 2001 (Corporations Act)) to raise $800,000.18 (less costs).

The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act:

The shares were issued without disclosure to the investors under Part 6D.2 of the Corporations Act, in reliance on Section 708A(5) of the Corporations Act.

The Company, as at the date of this notice, has complied with:

   a)    the provisions of Chapter 2M of the Corporations Act as they apply to Company;  and 
   b)    Section 674 of the Corporations Act. 

As at the date of this notice, there is no information that is "excluded information" for the purposes of Sections 708A(7) and (8) of the Corporations Act that is required to be disclosed for the purpose of Section 708A(6)(e) of the Corporations Act.
