                            Update on offer talks

Further  to the announcement on 17 March 1999 regarding a possible  offer  by
the  executive  directors at a price in the region of  145p  per  share,  the
executive  directors have indicated that, subject to certain  pre-conditions,
they  would  consider making an offer at 165p per share.  The principal  pre-
condition is the satisfactory completion of due diligence by the providers of
finance.

A further announcement will be made as soon as possible.
