NOTICE OF WRITTEN RESOLUTION OF THE HOLDERS OF FOUNDER SHARES, EXTRAORDINARY GENERAL MEETING AND INTENT TO CANCEL ADMISSION OF SHARES TO TRADING ON SETSQX

Notice is hereby given by LYXOR FOCUS FUND (GBP) LIMITED (the "Company") that, by Written Resolution dated 4 December 2014, the holders of founder shares have made the following change to the Articles of Association;

"That Article 40.2 of the Articles of Association of the Company be and is hereby deleted in its entirety and replaced with the following wording:

"40.2 The Directors may convene an extraordinary general meeting of the Company at any time to propose a Special Resolution to wind up the Company summarily pursuant to Article 146 of the Law."

Notice is further given by the Company that it has today sent to shareholders a Circular convening an Extraordinary General Meeting to be held on 30 December 2014 at which shareholders will consider and vote on a resolution for the summary winding-up of the Company. It is the intention of the Company that, conditional upon the passing of the resolution, the Participating Shares of the Company be cancelled from admission to trading on the SETSqx platform of the London Stock Exchange. The Company has notified the LSE of this intention and, subject to shareholder approval, it is currently expected that the Participating Shares will be cancelled from trading on the SETSqx platform with effect from close of market on 9 January 2015.
