Issue of Equity under Offer

The Company published a prospectus on 3 October 2023 (the "Prospectus") containing an offer for subscription for ordinary shares of 5p each in the Company ("New Shares") to raise up to £20 million (with an over-allotment facility of up to an additional £20 million) (the "Offer").  Full details of the Offer are contained in the Prospectus.  On 18 June 2024 the Company announced the closing date for applications under the Offer had been extended to 31 July 2024. 

The Board is pleased to announce on 15 August 2024 it unconditionally allotted and issued 4,877,476 New Ordinary Shares of 5 pence each ("Ordinary Shares") at prices ranging between 49.28 pence and 51.67 pence per share based on the net asset value at 31 July 2024 of 47.8p per share. 

The Offer is now closed.  In total 32,427,788 Ordinary Shares were issued by the Company pursuant to the Offer.

The issued share capital and total voting rights of the Company is now 274,594,312 Ordinary Shares.

The above figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Molten Ventures VCT plc under the FCA's Disclosure and Transparency Rules.

Application for the Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities will be made at the earliest practicable opportunity. Dealings are expected to commence on or around 23 August 2024.
