(i) the Ordinary General Meeting of Shareholders of NTT to be held in June 2005
(the specific date of such meeting to be determined) and (ii) any year-end
dividends for the fiscal year ended March 31, 2005, which must be declared by
the Board of Directors of NTT at a meeting scheduled to be held in May 2005,
approved by the Ordinary General Meeting of Shareholders of NTT to be held in
June 2005 and the Minister for Internal Affairs and Communications of Japan.
