Oriflame International S.A.

Merger completed between Oriflame International S.A. ("Oriflame")
and Oriflame Eastern Europe S.A. ("Oresa")

At Extraordinary General Meetings held today in Luxembourg, shareholders of
both Oriflame and Oresa approved inter alia the merger of the two companies.
The accounting year of Oriflame International S.A., as the enlarged group will
be named, has been changed to 31 December, 1997.  

Completion of the merger will take place on the admittance to the London Stock
Exchange Official List of 45,921,918 new shares of no par value in Oriflame
and the suspension of Oriflame's existing shares being lifted. This is
expected to take place at 8.30 a.m. on 9 December,1997.
