    Total Voting Rights


    As at the date of this announcement, the Company's issued share capital consists of 12,419,719 ordinary shares of �1 each, with one
voting right per share.  Currently there are no shares held in treasury and therefore the total number of voting rights in Proventec plc is
12,419,719.

    The above figure of 12,419,719 may be used by shareholders as the denominator for the calculations by which they can determine if they
are required to notify their interest in, or a change to their interest in, the Company, under the FSA's Disclosure and Transparency Rules.
