Confirmation of Capital Reduction

The Board of Directors of the
Company announces that the reduction of capital involving the
cancellation of the share premium account of the Company (the
"Capital Reduction"), was
confirmed on 12 July 2024 by the High Court of Justice of England
and Wales (the "Court").
The Court order confirming the
Capital Reduction, and a statement of capital approved by the
Court, was registered by the Registrar of Companies on 18 July 2024
and, following their registration at Companies House, the Capital
Reduction process is now complete, thereby creating approximately
£70.2 million of distributable reserves which the Company may use
to support a return of capital or other form of distribution during
the managed wind-down of the Company. The Company will make further
announcements as to any further distributions or returns of capital
in due course.

of the Company which published by the Company on 30 April 2024 (the
"Notice"). The Notice is
