Proposed Acquisition of Northern Racing Limited approved by Shareholders

The Chepstow Racecourse PLC ("Chepstow" or " the Company") announces that, at
its Extraordinary General Meeting held earlier today, all the ordinary and
special resolutions set out in its circular to shareholders dated 17 September
2003 were duly passed.

The resolutions included the approval of the proposed acquisition by Chepstow of
Northern Racing Limited, an increase in the Company's authorised share capital
and approval of the Company's share option schemes.

The acquisition of Northern Racing Limited is expected to complete on 13 October
2003 upon admission of the consideration shares and readmission of the existing
ordinary shares of Chepstow to trading on AIM.
