CHANGE TO DATE OF CANCELLATION TO TRADING ON AIM OF STATPRO
SHARES
On 20 September 2019, the boards of directors of Confluence
Technologies, Inc. and StatPro (the "Company") announced they had
reached agreement on the terms of a recommended all cash offer for
the entire issued and to be issued ordinary share capital of
StatPro (the "Acquisition"), to be effected by means of a scheme of
arrangement under Part 26 of the Companies Act 2006 (the
"Scheme").
StatPro and Confluence Technologies, Inc. are pleased to
announce that the Scheme has now become effective in accordance
with its terms and that the entire issued ordinary share capital of
StatPro is owned by Bidco.
Scheme Shareholders will receive 230 pence in cash for each
Scheme Share. The latest date for settlement of the cash
consideration payable under the Acquisition is 12 November
2019.
Dealings in StatPro Shares on AIM were suspended with effect
from 7.30 a.m. on 29 October 2019.
Change to the date of cancellation to trading on AIM of StatPro
Shares
StatPro announces that, in accordance with its articles of
association, 360,000 Growth Shares have today converted into
ordinary shares on the Scheme becoming Effective.
Application has been made for 360,000 new ordinary shares to be
admitted to trading on AIM ("Admission"). It is expected that
Admission will occur on 31 October 2019.
As a result, the Company announces that cancellation of
admission to trading of StatPro Shares will now take place at 7.00
a.m. on 1 November 2019, and not at 7.00 a.m. on 30 October 2019 as
previously announced.
Defined terms used but not defined in this announcement have the
meaning given to them in the scheme circular sent to StatPro
Shareholders on 27 September 2019.

constitute a violation of the laws of that jurisdiction.

single person for the purpose of Rule 8.3 of the Code.

company and by any offeror and Dealing Disclosures must also be
made by the offeree company, by any offeror and by any persons
