PLACING OF SHARES


SWP Group Plc ("SWP") announces that it has placed 15,850,000 new ordinary
shares of 2p each at a price of 2.5p per share.

The new ordinary shares of 2p each rank pari passu in all respects with the
existing ordinary shares of 2p each currently in issue.  Application has been
made to the UK Listing Authority for the new ordinary shares to be admitted to
the Official List and to the London Stock Exchange for the new ordinary shares
to be admitted to trading.  It is expected that admission will become effective
and that dealings in those shares will commence on 21 May 2002.

After the issue of these new ordinary shares, the enlarged issued ordinary share
capital will be 333,440,628.
