                            CONSOLIDATION OF SHARES

Following the passing of all the Resolutions at the Extraordinary General
Meeting of the Company held on 24 May 2004, the Share Consolidation was carried
out on the following basis:

           for every 50 New Ordinary Shares held, a Shareholder will
                          receive 1 Consolidated Share

Following the Share Consolidation, members of the Concert Party are interested
in 7,348,496 Consolidated Shares, representing 46.60 per cent. of the issued
share capital of the Company as follows:
