Terrace Hill Group plc ("Terrace Hill" or "the Company")

The Company announces that it has applied for the admission of 8,644 new
ordinary shares of 2p each ("Terrace Hill Shares") in the Company to trading on
the Alternative Investment Market of the London Stock Exchange ("AIM"). These
shares have been issued and allotted to shareholders of Grosvenor Land Holdings
plc ("Grosvenor") who, since the announcement released on 27 April 2004, have
elected to receive new Terrace Hill Shares under the mandatory recommended cash
offer with share alternative. It is expected that dealings in the new Terrace
Hill Shares will commence on 20th May 2004.

These shares will rank pari passu with all existing Terrace Hill Shares in issue
and the number of shares in issue following this application becoming effective
will be 186,841,761.
