Thorntons PLC (the "Company")

The Company has received notification today that Michael Thornton sold, on 25
May 2001, 368,720 Ordinary Shares of 10p each from his personal holding to the
Thornton Retirement Annuity Trust Scheme ('RATS') at a price of 92.5p per
share. The Trustees of the Scheme are BGL Reads Trust Company Limited.

The Thornton RATS is an approved Guernsey Pension Fund, with its sole member
being Michael Thornton. As such, Mr Thornton's beneficial interest remains
unchanged at 1,874,815 shares in the Company.
