Total Voting Rights

In conformity with the Transparency Directive's transitional provision 6, we
would like to notify the market of the  following:

As at 18 December 2006, the issued share capital and voting rights of THORNTONS
PLC are as follows:

THORNTONS PLC's share capital consists of 67,657,744 Ordinary 10p shares with
voting rights attached (one vote per  Ordinary share). Therefore the total
number of voting rights in THORNTONS PLC is 67,657,744.

The above total voting rights figure may be used by shareholders as the
denominator for the calculations by which they  will determine whether they are
required to notify their interests in, or a change to their interest in,
THORNTONS PLC  under the FSA's Disclosure and Transparency Rules.
