    BOARD CHANGES - NON-EXECUTIVE DIRECTORS

    Thorntons PLC announces the appointment of Diana Houghton as an independent Non-Executive Director.

    Diana Houghton is a corporate development and strategy specialist who has a broad experience of the consumer goods and leisure retail
sectors and extensive corporate finance expertise.

    Diana Houghton spent six years as the Corporate Development Director of Allied Domecq where she worked with the Chief Executive Philip
Bowman to build the Group's international wines and spirits business. Since the acquisition of Allied Domecq by Pernod Ricard she has worked
on a consultancy basis with a range of companies including Fortune Brands Inc., the Rank Group and Scottish Power as well as investment
banks and private equity houses. Before joining Allied Domecq, she was Director of Corporate Development at Bass plc and Director of
Strategic Planning at Bass Leisure. She gained a first class honours degree in Chemical Engineering from Imperial College, London from which
she joined Bain & Co as a management consultant.

    Martin Davey, who has served on the Board since April 2004, has decided, due to increasing commitments, to step down and has resigned
from the Board.

    Paul Wilkinson, the Company's other independent Non-Executive Director is appointed as the Company's Senior Independent Director.

    All changes are with immediate effect.

    There are no other matters requiring disclosure under Listing Rule 9.6.13.
