Amendment of the Company's Share Option Plan
The Company announces that, on 30 August 2007, the Board approved an amendment
of the Company's Share Option Plan, which is called the Israeli Share Incentive
Plan (the "ISIP"), pursuant to which future option grants over ordinary shares
of 0.01 New Israeli Shekels each in the Company ("Ordinary Shares") shall be
issued in accordance with the "Net Exercise" Method which allows optionees a
cashless exercise of their options over Ordinary Shares.
Additionally, the ISIP allows for the issuance, at the sole and absolute
discretion of the Board (or a committee thereof), of Restricted Stock Units
("RSUs"). An RSU is a right to receive an Ordinary Share, under certain
provisions, for a consideration of no more than the underlying Ordinary Share's
par value.
