| Ultimate Finance provides bespoke invoice discounting, |
| factoring, trade finance, asset finance facilities and debtor |
| protection to clients ranging from well established small firms |
| to medium-sized businesses. On 12 October 2010, the Company |
| announced that it had conditionally agreed to acquire the whole |
| of the issued share capital of Ashley Commercial Finance |
| Limited, an invoice finance business based near Manchester. The |
| main country of operation of the Company will be the UK. |

| Upon admission, which is being sought as the result of a reverse |
| take-over under AIM Rule 14, Ultimate Finance will have acquired |
| the entire issued share capital of Ashley Commercial Finance |
| Limited. |
