UTILICO INVESTMENT TRUST PLC

Utilico Investment Trust plc announces the allotment of 33,169 Ordinary Shares
of 1.5625p each and 23,320 ZDP Shares of 177.52p each.  These shares, which rank
pari passu with the existing shares in issue, have been allotted following the
exercise of 51,850 Warrants on 31 October 2004.  Application has been made for
the new ordinary shares and ZDP shares to be listed and admitted to trading on
the Stock Exchange and dealings are expected to commence on 12 November 2004.

As a result of this exercise, the total number of Ordinary Shares in issue now
stands at 64,264,664, the total number of ZDP Shares in issue stands at
45,186,083 and the total number of Warrants in issue stands at 19,931,915.
