HAREWOOD STRUCTURED INVESTMENT PCC LIMITED (the "Company")

in respect of its US ENHANCED INCOME CELL (the "Cell")

DIVIDEND DECLARATION

The Directors have declared a second interim dividend of 2.2 pence per each Class A Sterling Hedged US Enhanced Income Preference Share payable out of the Cell in respect of the financial year ending 31 October 2013. This dividend will be payable on 5 June 2013 to holders on record as of 3 May 2013. The corresponding ex-dividend date will be 1 May 2013.

The Directors have declared a second interim dividend of 2.2 cents per each Class B Unhedged US Enhanced Income Preference Share payable out of the Cell in respect of the financial year ending 31 October 2013. This dividend will be payable on 5 June 2013 to holders on record as of 3 May 2013. The corresponding ex-dividend date will be 1 May 2013.
